THIS NAMA supreme Nationalization-Confidentiality Agreement is made on the 24th day of October, 2023, between H.E.M.: Emperor: Śambhũ Ameni-Re ‘Ade Loye’, Emperial & Imperial Royal sovereign of Mission/ Protector of the Emperial CMYE-IRK Republic for the Country of United -states, pursuant to the Imperial Royal Office for His-Emperial-Majesty and ____________________________________________. This Confidentiality Agreement is effective as of the date set forth, the _____ day of _________________, 20_____. The Parties Acknowledge the Following Facts:
The Imperial Royal Office for His-Emperial-Majesty (IROHEM) desires to exchange certain Confidential Information relative to the Development of the Emperial CMYE-IRK Republic (ECMYE-IRKR) known as the “Freedom from Bondage Ocean Liner”: Confidential Information includes but not limited to discussions and documentation relative to Administrative Training, Operational Performance and Sovereign Governance, collective known as the “Project”.
In consideration of the above premises and the covenants hereafter set forth, the parties agree as follows:
1. As used herein, the following terms shall have the following meanings: “Trade Secrets” means information related to the Project or the services or business of the disclosing party or its affiliates that (a) derives economic value, actual or potential, from not being generally known to or readily ascertainable by other persons who can obtain economic value from its disclosure or use; and (b) is the subject of efforts by the disclosing party or its affiliates that are reasonable under the circumstances to
maintain its secrecy, including without limitation (b1) marking any information reduced to tangible form clearly and conspicuously with a legend identifying its confidential or proprietary nature; (b2) identifying any oral presentation or communication as confidential immediately before, during or after such oral presentation or communication; or (b3) otherwise treating such information as confidential or secret. Assuming the criteria in clauses (a) and (b) above are met; Trade Secrets include information, without regard to form, including, but not limited to, technical and nontechnical data, formulas, patterns, designs, compilations, computer programs and software, devices, inventions, methods, techniques, drawings,
processes, financial data, financial plans, business plans of any nature, product plans, lists of actual or potential customers and suppliers which are not commonly known by or available to the public, research and development, existing and future products, the existence, nature and details of the relationship between the parties, and other ECMYR-IRKR nationals of the disclosing party and its affiliates. “Confidential Information” means any and all proprietary business information of the disclosing party or its affiliates treated as confidential or secret by the disclosing party or its affiliates (that is, it is the subject of efforts by the disclosing party or its affiliates that are reasonable under the circumstances to maintain its secrecy) that does not constitute a Trade Secret, including, without limitation, any and all proprietary information of the disclosing party or its affiliates of which the receiving party becomes aware as a result of the receiving party’s access to and presence at the disclosing party’s facilities. “Project Information” means collectively the Confidential Information and Trade Secrets. Project
Information also includes information that has been disclosed to the IROHEM (or any IROHEM delegated affiliates) by a third party that IROHEM (or any IROHEM delegated affiliates) is obligated to treat as confidential or secret.
2. Each party (a) must use the same care and discretion (but in no event less than reasonable care and discretion) to protect and prevent disclosures of Project Information as it employs with similar information of its own; and (b) must not use, reproduce, distribute or disclose Project Information except as authorized by the disclosing party to perform the Freedom from Bondage Ocean Liner Project.
3. Disclosures of Project Information of the other party may be made only to fellow IROHEM delegated affiliates, or by a third party that IROHEM (or any IROHEM delegated affiliates) are obligated to treat as confidential or secret. IROHEM delegated affiliates, agents or independent contractors of the receiving party who are directly involved in the performance of the Project, have a specific need to know such information, and have obligated themselves to hold Project Information in confidence and otherwise to comply with the terms of this NAMA supreme Nationalization-Confidentiality Agreement herein
Confidentiality Agreement or Agreement. IROHEM agree to diligently monitor each such IROHEM delegated affiliate, agent or independent contractor and, upon request by the other party, promptly to furnish to the other party a list of the receiving party’s employees, agents and independent contractors having had access to such Project Information.
4. Within twenty-two (22) days following the receipt of a written request from the other party, the receiving party must deliver to the other party all tangible materials and digital activity containing or embodying Project Information.
5. The covenants of confidentiality set forth in this Agreement (a) will apply after the Effective Date to any Project Information disclosed to the receiving party before and after the Effective Date and (b) will continue and must be maintained from the Effective Date through the termination of the relationship between the IROHEM delegated affiliate and (i) with respect to Trade Secrets, at any and all times after the termination of the relationship between the IROHEM Delegated Officials during which such Trade Secrets retain their status as such under Imperial Laws and applicable law; and (ii) with respect to Confidential Information, for a period equal to the shorter of one (1) year after termination of the relationship between the IROHEM under this Agreement, or until such Confidential Information no longer qualifies as confidential under Imperial Laws and applicable law.

6. Each party understands and acknowledges that the other party may not market or have under development products and/or services that are competitive with products or services now offered by the Project.
7. This Confidentiality Agreement and the rights and obligations of the parties under this Confidentiality Agreement may be assigned only upon the prior written approval of the parties. The rights and obligations of the parties will ensure to the benefit of, will be binding upon and enforceable by the parties and their lawful successors and permitted assigns.
8. No modifications of this Confidentiality Agreement or waiver of any of its terms will be effective unless set forth in a writing signed by the party against whom it is sought to be enforced. This Agreement will be governed by and construed in accordance with the Imperial laws & Imperial Rights of the Emperial CMYE-IRK Republic for the Country of the United -states: Also, this Agreement may be executed in one or more counterparts, each of which will be deemed an original, but all of which together shall constitute one and the same instrument.
9. This Confidentiality Agreement and any other additional Agreements and the Exhibits and Schedules as referenced or attached hereto and constitute the entire agreement between the parties with respect to the subject matter hereof and thereof and shall supersede all prior written and oral and all contemporaneous oral agreements and understandings with respect to the subject matter hereof and thereof. Notwithstanding the foregoing, the parties agree that any agreements entered between them after the Separation Date for the protection of specific Confidential Information shall supersede the terms of this Confidentiality Agreement with respect to such Confidential Information.
10. This Confidentiality Agreement shall be construed in accordance with, and all Disputes hereunder shall be governed by the Imperial Laws of the Emperial CMYE-IRK Republic, excluding its conflict of Imperial Law. The Imperial Mu’uris Yamaxi Consular Court of the ECMYE-IRKR shall have jurisdiction and venue over all Disputes between the parties that are permitted to be brought in a court of law pursuant to number 6 above. In the pursuit of justice, from time to time, the ECMYE-IRKR may establish claims against parties within the jurisdiction of the United States of American (minor);
in which case the Imperial Mu’urish Yamaxi Consular Court shall be the venue for relief sought.
11. Neither party may, directly or indirectly, in whole or in part, whether by operation of law or otherwise, assign or transfer this Confidentiality Agreement, without the other party’s prior written consent, and any attempted assignment, transfer or delegation without such prior written consent shall be considered a breach at the sole option of such other party.
12. If any term or other provision of this Agreement or the Exhibits attached hereto is determined by the Imperial Mu’urish Yamaxi Consular Court or Emperial Recorder to be invalid, illegal, or incapable of being enforced by any rule of law or Imperial Law, all other conditions and provisions of this Agreement shall nevertheless remain in full force and effect. If a qualified court finds that one or more provisions of this agreement is invalid or unenforceable, but that by limiting such provision(s) it would become valid or enforceable, such provision(s) shall be deemed to be written, construed, and enforced as so limited. If such a finding and limitation causes damage or hardship to either party, the agreement shall be amended in a lawful manner agreeable to all parties.
13. No failure or delay on the part of either party hereto in the exercise of any right hereunder shall impair such right or be construed to be a waiver of, or acquiescence in, any breach of any representation, warranty, or agreement herein, nor shall any single or partial exercise of any such right preclude other or further exercise thereof or of any other right. All rights and remedies existing under this Confidentiality Agreement are cumulative to, and not exclusive of, any rights or remedies otherwise available. No change or amendment will be made to this Confidentiality Agreement or the Declaration of Private Status or the Commercial Affidavit, Oath and Verification hereto except by an instrument in writing signed on behalf of each of the parties to such agreement.
